These Terms of Service (“Terms”) constitute a legally binding agreement between you and CliniScripts (“CliniScripts,” “Company,” “we,” “our,” or “us”) governing your access to and use of the CliniScripts website, web platform, mobile application, medical scribe tools, and related services (collectively, the “Services”).

BY ACCESSING OR USING THE SERVICES, CREATING AN ACCOUNT, OR OTHERWISE ENGAGING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

1. How Are the Services Delivered?

CliniScripts’ services allow you to upload or record data/information, which will then be processed and provided to you in the form of summarized reports and a copy of the recorded transcript.

The Services may use artificial intelligence, machine learning, automated transcription, summarization, and other automated technologies to process information and generate transcripts, summaries, clinical documentation, or other outputs.

The Services are intended to assist healthcare professionals with documentation and administrative tasks. The Services do not replace the professional judgment, review, supervision, or decision-making of a qualified healthcare professional.

You are solely responsible for reviewing, verifying, editing, and approving any transcript, summary, note, or other output generated by the Services before relying on it or incorporating it into a patient’s record or using it for clinical, legal, billing, administrative, or other professional purposes.

2. Eligibility and Authority to Use the Services

By using the Services, you represent and warrant that:

• You are at least the age of majority in the Province or Territory of your residence and are legally entitled to enter into this agreement with CliniScripts.
• You have the legal capacity and authority to enter into these Terms.
• If you are using the Services on behalf of a clinic, organization, employer, or other entity, you represent that you have authority to bind that entity to these Terms.
• You will use the Services only for lawful purposes and in compliance with all applicable laws, regulations, professional standards, and contractual obligations.

3. Patient Consent and User Responsibilities

If you use CliniScripts to record, upload, transcribe, summarize, or otherwise process information relating to patients or other individuals, you are solely responsible for ensuring that you have obtained all necessary consents, authorizations, permissions, notices, and other legal bases required under applicable privacy, health-information, recording, and other laws.

You are responsible for ensuring that your use of the Services complies with the privacy and professional obligations applicable to you, including any obligations relating to patient confidentiality and the handling of personal health information.

You must not use CliniScripts to process information that you do not have the legal right or authority to provide to CliniScripts.

You are also responsible for informing your patients, authorized users, employees, or other individuals of any applicable policies, practices, or settings that may affect how their information is processed through the Services.

4. Accounts and Authorized Users

Certain CliniScripts Services may require you to create an account. You are responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account.

You must promptly notify CliniScripts if you become aware of any unauthorized access to or use of your account.

You may not share your account credentials with unauthorized individuals or permit anyone to access the Services through your account except as expressly permitted by CliniScripts.

If you use the Services on behalf of an organization, the organization may be responsible for managing authorized users and their access to the Services.

5. Acceptable Use

You agree not to, and will not permit any other person to:

• Use the Services for any unlawful, fraudulent, abusive, or unauthorized purpose;
• Use the Services in a manner that violates any applicable law, regulation, professional obligation, or third-party right;
• Attempt to gain unauthorized access to the Services, another user’s account, or CliniScripts’ systems;
• Interfere with, disrupt, damage, or compromise the integrity or performance of the Services;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of the Services, except where expressly permitted by applicable law;
• Copy, reproduce, resell, lease, sublicense, distribute, or commercially exploit the Services except as expressly authorized by CliniScripts;
• Use automated means to access or extract information from the Services in a manner that is not authorized by CliniScripts;
• Upload or transmit information that you do not have the legal right to use or disclose;
• Use the Services to infringe, misappropriate, or otherwise violate the intellectual property, privacy, confidentiality, or other rights of another person or entity;
• Use the Services to create or distribute malicious software, code, or other harmful material; or
• Attempt to circumvent any usage limitations, security controls, or technical restrictions implemented by CliniScripts.

6. User Content and Data

For purposes of these Terms, “User Content” means information, data, audio, video, text, documents, transcripts, notes, or other materials submitted to, uploaded to, recorded through, or generated through your use of the Services.

You retain ownership of User Content to the extent you have ownership rights in such content. CliniScripts does not claim ownership of your patient information or other User Content.

You grant CliniScripts the limited rights necessary to access, process, transmit, store, and otherwise use User Content solely as necessary to provide, maintain, secure, and support the Services, and as otherwise permitted by these Terms and our Privacy Policy.

CliniScripts may also process de-identified or aggregated information that cannot reasonably be used to identify an individual for purposes such as maintaining security, monitoring performance, troubleshooting, analytics, and improving the Services, subject to applicable law and our Privacy Policy.

CliniScripts does not use identifiable patient or clinical information to train general-purpose AI models unless expressly disclosed to you and permitted under applicable law and contractual requirements.

7. CliniScripts’ Intellectual Property

The Services, including the CliniScripts software, website, mobile application, user interface, designs, trademarks, logos, technology, documentation, and other materials provided by CliniScripts (“Company Materials”), are owned by or licensed to CliniScripts and are protected by applicable intellectual property laws.

Except for the limited right to access and use the Services under these Terms, no ownership rights are transferred to you.

You may not copy, modify, distribute, sell, license, reverse engineer, or otherwise exploit Company Materials except as expressly permitted by these Terms or with CliniScripts’ prior written permission.

CliniScripts retains all rights in and to the Services and Company Materials that are not expressly granted to you under these Terms.

8. Feedback

If you provide CliniScripts with suggestions, ideas, recommendations, comments, or other feedback regarding the Services (“Feedback”), you grant CliniScripts a non-exclusive, worldwide, royalty-free right to use and incorporate such Feedback into the Services without compensation or attribution to you.

You represent that you have the right to provide such Feedback and that providing it does not violate any third-party rights or obligations.

9. Confidentiality

CliniScripts will handle confidential information in accordance with these Terms, our Privacy Policy, and applicable privacy and confidentiality obligations.

CliniScripts will use reasonable safeguards to protect confidential information and will not intentionally use confidential information for purposes unrelated to providing, maintaining, securing, or supporting the Services, except as otherwise permitted by these Terms, our Privacy Policy, or applicable law.

You are responsible for maintaining the confidentiality of your account credentials and for ensuring that your use of the Services does not improperly disclose confidential or protected information.

10. Third-Party Services and Subprocessors

The Services may rely on third-party services, infrastructure, technology, software, cloud hosting providers, AI providers, payment processors, communications providers, security providers, and other service providers (“Third-Party Services”).

CliniScripts may permit these providers to process information on CliniScripts’ behalf to the extent necessary to provide or support the Services. Such processing will be subject to applicable contractual, privacy, confidentiality, and security requirements.

CliniScripts is not responsible for the availability, performance, security, or functionality of Third-Party Services that are outside CliniScripts’ reasonable control.

Your use of certain integrations, such as Google Calendar, may also be subject to the third party’s separate terms and privacy policies.

11. AI and Automated Technology Disclaimer

CliniScripts uses artificial intelligence and automated technologies to provide certain features of the Services. AI-generated content may contain errors, omissions, inaccuracies, hallucinations, or other unintended results.

You acknowledge that AI-generated transcripts, summaries, notes, recommendations, classifications, or other outputs may not be complete or accurate.

You must independently review and verify all AI-generated content before relying upon it.

CliniScripts does not guarantee that AI-generated content will accurately reflect the underlying audio, conversation, clinical information, or other source material.

CliniScripts does not provide medical advice, diagnosis, treatment recommendations, or other professional medical services through the Services.

12. No Medical Relationship

You acknowledge that CliniScripts services do not create a doctor-patient relationship, are not a substitute for regular medical care, and should not be relied upon as the sole source of medical information.

You are encouraged to consult with qualified healthcare professionals for any medical decisions.

CliniScripts is a technology provider and is not a healthcare provider. The Services are documentation and administrative tools and do not replace professional clinical judgment.

You remain solely responsible for all medical, clinical, diagnostic, treatment, billing, legal, and professional decisions made using or informed by information generated through the Services.

13. Service Availability and Modifications

CliniScripts will use commercially reasonable efforts to maintain the availability of the Services but does not guarantee that the Services will be uninterrupted, continuously available, secure, or error-free.

The Services may occasionally be unavailable due to maintenance, upgrades, technical issues, security incidents, third-party service failures, or circumstances outside CliniScripts’ reasonable control.

CliniScripts may modify, update, improve, suspend, or discontinue features of the Services from time to time.

Where reasonably practicable, CliniScripts will provide notice of material changes that substantially affect the functionality of the Services.

14. Refund and Dispute Policy

You have 14 days from the date the service is provided to request any clarification or raise a dispute regarding the services rendered.

If a dispute arises, CliniScripts will review the case and, if applicable, provide a resolution.

After this 14-day period, your case is deemed closed.

If the dispute is accepted, CliniScripts will either propose a suitable resolution or issue a refund in the next billing cycle (end of each month).

Nothing in this section limits any rights or remedies that cannot legally be excluded or limited under applicable law.

15. Service Provided “As-Is”

CliniScripts commits to providing services in accordance with these Terms of Service, on an “as-is, where-is” basis, without warranties of any kind, to the maximum extent permitted by applicable law.

CliniScripts does not guarantee the accuracy, completeness, or error-free nature of the service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS,” “WHERE IS,” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

CLINISCRIPTS DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ACCURATE, RELIABLE, OR ERROR-FREE.

16. Limitation of Liability

CliniScripts and its technicians, partners, employees, and contractors do not represent or warrant the suitability of the information provided for any specific use.

CliniScripts assumes no liability or responsibility for any consequences that may result from using the service, including but not limited to reliance on the information for medical, legal, or professional decisions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLINISCRIPTS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, PARTNERS, SUPPLIERS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

17. Exclusion of Consequential Damages

IN NO EVENT SHALL CliniScripts, ITS DIRECTORS, EMPLOYEES, CONTRACTORS, PARTNERS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THESE SERVICES, WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE, MALPRACTICE, AND IMPROPER TREATMENT OF PERSONAL INFORMATION), OR OTHERWISE, EVEN IF CliniScripts HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms is intended to exclude or limit liability to the extent that such liability cannot legally be excluded or limited under applicable law, including liability arising from fraud, willful misconduct, or other liability that applicable law does not permit a party to exclude or limit.

18. Aggregate Liability Cap

IN NO EVENT SHALL CliniScripts’ AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES UNDER THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE.

The foregoing limitation applies to the maximum extent permitted by applicable law.

19. Indemnification

You agree to defend, indemnify, and hold harmless CliniScripts and its directors, officers, employees, contractors, affiliates, partners, and service providers from claims, damages, losses, liabilities, costs, and reasonable legal expenses arising out of or relating to:

• Your User Content;
• Your or your authorized users’ use or misuse of the Services;
• Your violation of these Terms or the Privacy Policy;
• Your violation of applicable laws or regulations;
• Your failure to obtain required patient consent, authorization, or permission; or
• Your violation of the rights of any third party.

This indemnification obligation does not apply to the extent that the applicable claim results from CliniScripts’ fraud, willful misconduct, or other conduct for which indemnification cannot lawfully be required.

20. Suspension and Termination

CliniScripts may suspend or restrict access to the Services where reasonably necessary to protect the security or integrity of the Services, investigate suspected misuse, comply with applicable law, address non-payment, or prevent harm to CliniScripts, its users, or third parties.

CliniScripts may terminate your access to the Services if you materially violate these Terms and fail to remedy the violation within a reasonable period after notice, where the violation is capable of being remedied.

You may discontinue your use of the Services at any time.

Upon termination, your right to access and use the Services will cease, subject to any rights or obligations that by their nature should survive termination.

Data retention and deletion following termination will be handled in accordance with the CliniScripts Privacy Policy and any applicable customer agreement.

21. Privacy

Your use of the Services is also subject to the CliniScripts Privacy Policy, which describes how CliniScripts collects, processes, uses, protects, retains, and deletes information.

The Privacy Policy is incorporated into these Terms by reference.

In the event of a conflict between these Terms and the Privacy Policy regarding the processing of personal or health information, the Privacy Policy will govern to the extent necessary to address the applicable privacy matter.

22. Electronic Communications and Acceptance

By accessing the Services, creating an account, clicking an acceptance button, checking a consent box, or otherwise using the Services after being presented with these Terms, you agree that such electronic action constitutes your electronic signature and acceptance of these Terms.

You consent to receive electronic communications from CliniScripts relating to your account, the Services, transactions, security, and changes to these Terms or our policies.

23. Marketing Communications

You consent to receive emails from CliniScripts, including news, updates, and promotions regarding CliniScripts’ products and services.

Where required by applicable law, promotional communications will be sent only where the appropriate consent has been obtained.

You understand that you can withdraw your consent at any time.

You may unsubscribe from promotional communications at any time by using the unsubscribe mechanism included in the communication or by contacting CliniScripts. Withdrawal of promotional email consent will not affect service-related or transactional communications that are necessary to provide the Services.

24. Governing Law and Jurisdiction

Jurisdiction and Venue for Legal Disputes: These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles.

Subject to any mandatory rights or dispute-resolution requirements under applicable law, the courts located in Ontario, Canada will have jurisdiction over disputes arising out of or relating to these Terms or the Services.

25. Changes to These Terms

CliniScripts may update or modify these Terms from time to time.

When material changes are made, CliniScripts will update the “Last Updated” date and, where appropriate, provide notice through the Services, website, or email.

Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.

26. Force Majeure

CliniScripts will not be responsible for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, terrorism, civil unrest, government actions, labor disputes, telecommunications or internet failures, power outages, cyberattacks, or failures of third-party infrastructure or services.

27. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be interpreted to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.

28. No Waiver

A failure or delay by CliniScripts to enforce any provision of these Terms does not constitute a waiver of that provision or of CliniScripts’ right to enforce it in the future.

29. No Agency or Partnership

Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary, or other similar relationship between you and CliniScripts. Neither party has authority to bind the other except as expressly provided in these Terms or a separate written agreement.

30. Entire Agreement

These Terms, together with the CliniScripts Privacy Policy and any other applicable written agreement between you and CliniScripts, constitute the entire agreement between you and CliniScripts concerning your use of the Services and supersede prior agreements, representations, or understandings concerning the same subject matter.

Your Acknowledgements and Consent

By requesting transcription services through CliniScripts, you acknowledge and agree that:

• You are at least the age of majority in the Province or Territory of your residence and are legally entitled to enter into this agreement with CliniScripts.
• You are not seeking CliniScripts services for any medical emergency or condition requiring urgent medical attention.
• You have read, understood, and agree to be bound by the Disclaimer, Limitation of Liability, and the Terms of Service and Privacy Policy of CliniScripts.
• You understand that CliniScripts is a technology and documentation service and does not provide medical advice, diagnosis, treatment, or other professional healthcare services.
• You understand that AI-generated transcripts, summaries, and other outputs may contain errors and must be independently reviewed and verified by an appropriately qualified professional.
• You are responsible for obtaining all required patient consents, authorizations, and permissions before recording or submitting patient information through CliniScripts.
• You agree to use the Services in compliance with applicable laws, regulations, professional standards, and privacy obligations.
• You understand that information submitted to CliniScripts may be processed by CliniScripts and authorized third-party service providers as necessary to provide the Services, as described in the Privacy Policy.
• You understand that your use of the Services is also subject to the CliniScripts Privacy Policy.

By selecting “I Agree,” creating an account, or otherwise using the Services after being provided with these Terms, you confirm your acceptance of these Terms and the CliniScripts Privacy Policy.
